Overview:
In order to meet the requirements of the Company’s retail partners and generally maintain high standards for decent and humane working conditions throughout the operations of the Company’s business, the Company has established specific minimum guidelines for all partners around the world, including, without limitation, the Company’s sub-contractors, suppliers, and manufacturers. The Company requires all sub-contractors, suppliers, and manufacturers to operate in compliance with local laws and, in addition, the terms of this Agreement including the Manufacturer’s Code of Conduct.

 

Agreement Terms:

Manufacturer agrees to follow and uphold the conditions outlined in the included Manufacturer’s Code of Conduct at all times, without exception. Manufacturer agrees to post a copy of the Manufacturer’s Code of Conduct, translated to the native language or most common language among employees, in a public area accessible to all employees. Manufacturer agrees to allow the Company or a third party authorized by the Company to audit Manufacturer in efforts to ensure the terms of this Agreement are being upheld. Manufacturer will make reasonable efforts to enable and assist with such an audit. If, at any time, Manufacturer fails to comply with the terms of this Agreement or the Manufacturer’s Code of Conduct, Manufacturer will notify the Company of the issue within 1 business day from the date the Agreement was breached. The issue must then be resolved as quickly as possible and the Manufacturer must notify the Company once the issue has been resolved. During any period of noncompliance, whether disclosed by the Manufacturer or found by an audit performed by the Company or a third party on behalf of the Company, Manufacturer grants the Company the unlimited right to cease business with the Manufacturer immediately. Under these circumstances, the Company may not be held responsible for purchasing items currently in production, as they were produced under breach of this Agreement or the Manufacturer’s Code of Conduct. Manufacturer is solely responsible for ensuring the terms of this Agreement and the terms of the Manufacturer’s Code of Conduct are upheld. Manufacturer will defend, indemnify, and hold the Company harmless against any allegation, claim, loss, damage, or other detriment resulting from Manufacturer’s failure to comply with this Agreement. This Agreement and the legal relations among the Parties hereto shall be governed by and construed in accordance with the laws of the State of Colorado, USA. If any terms or provisions of this Agreement or the Manufacturer’s Code of Conduct shall be declared by a court of competent jurisdiction to be invalid, illegal, unenforceable, inoperative or otherwise ineffective, then such provision shall be eliminated to the minimum extent necessary and all remaining provisions shall remain in full force and effect.

 

Manufacturer’s Code of Conduct:

Employment Relationship

Employers shall adopt and adhere to rules and conditions of employment that respect workers and, at a minimum, safeguard their rights under national and international labor and social security laws and regulations.

Nondiscrimination

No person shall be subject to any discrimination in employment (including hiring, compensation, advancement, discipline, termination or retirement) on the basis of gender, race, religion, age, disability, sexual orientation, nationality, political opinion, social group, or ethnic origin.

Harassment or Abuse

Every employee shall be treated with respect and dignity. No employee shall be subject to any physical, sexual, psychological or verbal harassment or abuse.

Recruiting and Labor

There shall be no use of forced labor, including prison labor, indentured labor, bonded labor or other forms of forced labor. No person shall be employed under the age of 15 or under the age for completion of compulsory education, whichever is higher.

Freedom of Association and Collective Bargaining

Employers shall recognize and respect the right of employees to freedom of association and collective bargaining. Employees will be allowed to raise job-related grievances to their employer without fear of penalty or reprisal.

Health, Safety and Environment

Employers shall provide a safe and healthy workplace setting to prevent accidents and injury to health arising out of, linked with, or occurring in the course of work or as a result of the operation of employers’ facilities. Employers shall adopt responsible measures to mitigate negative impacts that the workplace has on the environment.

Hours of Work

Employers shall not require workers to work more than the regular and overtime hours allowed by the law of the country where the workers are employed. Except for unforeseen circumstances, a regular work week shall not exceed 60 hours. Employers shall allow workers at least 24 consecutive hours of rest in every sevenday period. All overtime work shall be consensual. Employers shall compensate all overtime work appropriately according to law.

Compensation

Every worker has a right to compensation for a regular work week that is sufficient to meet the worker’s basic needs and provide some discretionary income. Employers shall pay at least the minimum wage or the appropriate prevailing industry wage (whichever is higher), comply with all legal requirements on wages, and provide any fringe benefits required by law or contract.
